Join Sage Law Group attorneys Carrie Schiff and Alice Warren-Gregory for a discussion regarding the necessity, selection, and function of a Board of Directors. We will address the following questions:
- What does a Board of Directors do and does my company need one?
- How does a Board of Directors differ from an Advisory Board? If my company has one, does it need the other?
- Where do I find qualified directors or advisors to serve on my company’s board(s)?
- What should I expect from my company’s directors or advisors?
Carrie Schiff
Partner, Sage Law Group
Carrie is a corporate, securities and commercial transactions lawyer who serves as an outside general counsel to her company clients, as well as deal counsel for her investor clients in the acquisition and disposition of their portfolio companies. All of Carrie’s clients share in common that they have world class teams with a passion for building meaningful businesses, and an unparalleled work ethic. Carrie’s clients seek her out for her unique business and operational perspective, accumulated from her decades of experience as a business executive and corporate attorney.
Carrie’s clients rely on her for her ability to simplify complex issues and provide creative, strategic solutions with a whole picture perspective. She has been developing these skills since she began her legal career with an international law firm, and honed them throughout her tenure as a general counsel and business executive in venture-backed, employee-owned and public companies. In those roles, Carrie participated in the development and execution of financing and commercialization strategies for a range of companies, from global multinational companies to start-ups.
Carrie is an avid backpacker—she disappears for a few weeks every summer to thru-hike with her husband in the beautiful Rocky Mountains. She works in the community she loves by teaching body safety classes to young kids in Boulder County and by promoting economic development for the State of Colorado.

Alice Warren-Gregory
Of Counsel, Sage Law Group
Alice is a corporate, securities and commercial transactions lawyer who serves as outside general counsel to her clients. Her practice runs the gamut of business law, from advising new companies on entity formation and corporate governance issues, to helping established companies as they grow their businesses through mergers, acquisitions, or financings. She also represents investors and investment funds in connection with debt and equity investments, joint ventures and other strategic transactions, and general corporate matters.
Alice’s relationships with her clients are fundamental. She strives to understand their business needs and goals so that she can partner with them to anticipate and identify issues and help address them effectively and efficiently. Rather than focus on one legal issue at a time, she takes a comprehensive approach, working closely with executive management to address the varied and sometimes unpredictable situations that arise as they build and run their companies. She enjoys serving her clients not only in her capacity as legal counsel but as strategic advisor and confidante as well.
Outside of work, Alice is an avid kayaker, hiker and birder. She also enjoys playing the drums, discovering and sharing new music, trying to keep up with contemporary literature, and spoiling her dog.
